How to register a business in Luxembourg with the Companies Registrar

Company registration in Luxembourg implies several steps that depend on the type of entity chosen. Specifically:

  1. gathering and/or drafting the necessary set of documents;
  2. reserving a commercial name, after verifying its availability with the Register;
  3. submitting the papers to the Registrar.

Another important step to complete is for any natural person who is a shareholder, director, manager, auditor, representative, partner, or has any other capacity in a business. This person should obtain a Luxembourg National Identification Number (LNIN). This requirement has been recently introduced, and our lawyers in Luxembourg can offer additional information about it.

Documents to file for company registration in Luxembourg

Here are the papers to prepare when registering a business in the Grand Duchy:

  • the application form, which depends on the type of entity to set up;
  • the Articles of Association for limited companies/ establishment deed for partnerships;
  • details about the shareholders or partners;
  • the personal information of company directors;
  • the data of the local representative (if applicable);
  • proof of a Luxembourg-registered address;
  • bank statement attesting the deposit of the share capital (where applicable).

Please note that associations and foundations must also be incorporated with the Trade Register in Luxembourg.

Making business amendments with the Companies Register

Any change made after company registration in Luxembourg must be reported to the Register for a business to continue existing. The following must be reported to the Business Register:

  • changes in the shareholding structure of an enterprise;
  • the removal and appointment of directors of companies;
  • share capital alterations;
  • legal address modifications;
  • trading name changes.
